Website Terms
These terms govern use of the Verlux Studio website. Client services, deliverables and commercial relationships are governed separately by the applicable proposal, statement of work or agreement.
These website terms do not replace a signed client agreement. If a signed agreement conflicts with general website content, the signed agreement controls the client engagement.
Using this website
You may use this website for legitimate informational and business purposes.
You must not use the website in a way that is unlawful, abusive, intentionally disruptive or designed to interfere with the website, its infrastructure or other users.
Website information
Verlux aims to keep website information useful and reasonably current, but website content is provided for general information and may change.
Descriptions of services, systems, pricing ranges, examples and operating approaches do not automatically create a contractual obligation.
Verlux services
Submitting a System Audit, contacting Verlux or discussing a project does not by itself create a client relationship.
An engagement begins only when the parties accept the applicable commercial terms or agreement.
Implementation and managed services may have different scopes.
Technology, usage fees and advertising spend may be separate from Verlux service fees.
Custom development and unusual integrations may require separate assessment.
Service levels or response commitments apply only when expressly agreed.
No guaranteed business results
Marketing and business performance depends on factors that Verlux cannot fully control, including the client's offer, pricing, sales process, market conditions, platform behaviour and customer demand.
Verlux does not guarantee revenue, lead volume, advertising performance, rankings or other specific commercial outcomes unless a written agreement expressly states otherwise.
Third-party platforms
Verlux systems may connect with third-party products such as advertising platforms, analytics tools, CRMs, hosting services, communication providers and automation software.
Those services remain subject to their own terms, policies, availability, pricing and technical limitations.
Intellectual property
Unless stated otherwise, Verlux owns or licenses the website design, written content, branding, reusable frameworks and other materials published on this website.
Website access does not transfer ownership of Verlux intellectual property.
Client business data remains client data.
Reusable Verlux frameworks, modules and shared system assets remain Verlux intellectual property unless otherwise agreed.
Ownership of bespoke development or unusual deliverables should be defined explicitly in the applicable agreement.
Prohibited activity
Attempting to gain unauthorized access to the website, systems or infrastructure.
Introducing malicious code, automated abuse or intentionally harmful traffic.
Scraping, reproducing or republishing protected website content in a way that infringes intellectual-property rights or applicable law.
Using the website to impersonate another person or misrepresent authority.
Using Verlux systems or forms for spam, fraud or unlawful activity.
External links
The website may link to external websites or services for convenience or reference.
Verlux is not responsible for the content, availability, privacy practices or policies of independent third-party websites.
Website availability
Verlux may modify, suspend, maintain or discontinue parts of the website when reasonably necessary.
The public website is not offered with a guaranteed uptime or service level unless a separate written agreement expressly provides one.
Disclaimer
To the extent permitted by applicable law, the website is provided on an as-available basis without a guarantee that all content will always be complete, error-free, uninterrupted or suitable for every business decision.
Website content should not be treated as legal, tax, financial or other regulated professional advice.
Limitation of website liability
To the extent permitted by applicable law, Verlux is not responsible for indirect or consequential losses arising solely from reliance on general public website content or inability to access the website.
Liability relating to a paid client engagement is governed by the applicable agreement rather than these general website terms.
Privacy
Use of personal information collected through the website is described in the Verlux Studio Privacy Policy.
Changes to these terms
Verlux may update these Website Terms when the website, services or legal requirements change.
The latest version published on the website applies to future use of the site from its stated update date.
Client agreements take priority
These Website Terms govern general website use only.
Where Verlux and a client enter into a signed proposal, statement of work, data-processing agreement or other contract, that agreement governs the relevant commercial relationship and may contain additional terms on scope, intellectual property, confidentiality, security, liability, service levels and governing law.
